Unga Group (Kenya) – Cautionary Announcement

Unga Group Ple (Unga }, pursuant to paragraph A.06 of the Fifth Schedule of the Capital Markets (Securities) (Public Offers, Listing and Disclosures) Regulations, 2002, issues this announcement to the shareholders of Unga Group, stakeholders and the general public

Following discussions, BigCold Kenya Limited (BigCold) and Ennsvalley Bakery limited (Ennsvalley}, an indirect subsidiary of Unga Group, have entered into an asset purchase agreement on 26 July 2021, under which, subject lo satisfaction of certain conditions and upon completion, Ennsvalley shall sell and BigCold shall purchase Ennsvalley’s assets (Proposed Transaction)

Further details of the Proposed Transaction will be issued upon satisfaction of the relevant conditions and completion of the Proposed Transaction. Prior to any further announcement, shareholders and any other investors are advised to exercise caution when dealing in Unga Group’s shares on the Nairobi Securities Exchange.
