May & Baker Nigeria resolutions at the 70th Annual General Meeting

The members of May & Baker Nigeria Plc. at its 70th Annual General Meeting held at 11:00am on June 3rd 2021, at the Muson Centre, Onikan, Lagos State proposed and passed the following resolutions:

ORDINARY BUSINESS

  1. Laying of the Annual Report and Accounts for the year ended 31st December, 2020 before the meeting;
  2. Unanimous approval (100% votes) of a dividend of 30 kobo per share amounting to N517,570,465.80k (Five Hundred and Seventeen Million, Five Hundred and Seventy Thousand, Four Hundred and Sixty-Five Naira, Eighty Kobo) before deduction of withholding tax for the year ended 31st December 2020;
  3. Unanimous election (100% votes) of Mr. Patrick Ajah as a Director of the Company;
  4. Re-election of Engr. Ishaya Dankaro (100% votes), and Chief (Dr.) Samuel Maduka Onyishi (100% votes) as Directors of the Company;
  5. Unanimous authorisation (100% votes) of Directors to fix the remuneration of the Auditors;
  6. Unanimous election (100% votes) of Mrs. Gloria Odumodu and Chief (Dr.) Samuel Maduka Onyishi (representing the Board) and Sir. G.O. Adewumi, Mr. Oladimeji Bolaji Adeleke and Mrs. Christie O , Vincent-Uwalaka (representing the shareholders) as members of the Audit Committee; and
  7. Unanimous approval and adoption (100% votes) of the New Memorandum and Articles of Association of the Company.
